Terms of Service

These Terms of Service ("Terms") govern your access to and use of BundleRight, a document-bundling service operated by Nimble Tech Ltd ("we", "us", "our"). By using BundleRight, you agree to these Terms. If you do not agree, you must not use the service.
1. Who We Are
BundleRight is provided by Nimble Tech Ltd, a private limited company registered in England and Wales (company number 16203504), with its registered office at 67 Plimsoll Road, London, N4 2EB, United Kingdom. You can contact us through our contact form.
2. The Service
BundleRight is a browser-based tool that ingests a collection of legal documents, classifies and orders them, and produces a numbered, indexed bundle (as a zip of PDFs together with a Word and PDF index). It supports a General Bundle workflow and a SENDIST Bundle workflow.
The service is offered on an "as is, as available" basis. We may add, change, suspend, or remove features at any time. We will use reasonable efforts to give advance notice of material changes that reduce functionality.
3. Who Can Use BundleRight
BundleRight is intended for use by UK law firms and their staff (including paralegals, trainees, fee-earners, and practice-support professionals) in a professional capacity. By using the service you confirm that:
- You are at least 18 years old
- You are using the service in the course of legitimate professional work, not for personal or consumer use
- You have authority to bind your firm to these Terms if you are using the service on behalf of a firm
4. Licence Keys and Access
Access to BundleRight is granted via a licence key issued to a firm. The key is a credential and must be treated like a password.
- You are responsible for keeping your licence key confidential
- You must not share your key publicly, post it in chat or email threads outside your firm, or sell or sub-license access
- Anyone in your firm may use the key to process bundles on the firm's behalf
- If you believe your key has been compromised, please contact us immediately and we will issue a replacement and investigate suspicious activity
5. Credits, Pricing, and Payment
BundleRight is a pay-as-you-go service. Use is metered in credits, with one credit consumed per document processed in a bundle. Your credit balance is the Nimble Pass: a single wallet that is intended to work across every product Nimble Tech offers as the family grows. Today that means BundleRight; future Nimble Tech products will accept the same credits.
- Price: 25p per document (25p per credit)
- Minimum top-up: £25 (100 credits)
- Credit expiry: Unused credits expire 12 months after the date of your most recent top-up. Any top-up refreshes the expiry date for your entire balance, so active accounts will not lose credits in normal use. We will email a reminder 30 days before any credits are due to expire
- Free trial: One bundle of up to 25 documents is available without payment and without a card
- Payment: All payments are processed through Stripe. We do not see or store your card details
- VAT: Prices are exclusive of VAT, which is added at the prevailing rate where applicable
Credits are checked against your balance before a bundle starts processing. If your balance is insufficient, processing will not begin and you will be prompted to top up. If a bundle fails for technical reasons attributable to us, the credits consumed for the failed documents will be refunded to your balance automatically.
We may change pricing in the future. Any change will not affect credits already purchased, which remain redeemable at the rate in effect when you bought them.
6. Refunds
Unused credits can be refunded within 14 days of purchase on request, provided the licence key has not been used to process documents beyond the free trial allowance in that period. After 14 days, or where credits have been used to produce bundles, top-ups are non-refundable. This does not affect any statutory rights you may have where they apply.
7. Acceptable Use
You agree not to use BundleRight to:
- Process documents that you do not have a lawful right to handle
- Process material that is unlawful, infringes third-party rights, or contains malware or harmful code
- Attempt to reverse-engineer, decompile, or extract the source code of the service, except to the extent permitted by law
- Probe, scan, or test the vulnerability of the service or attempt to bypass its security or rate-limiting
- Send automated traffic, scrape, or use the service in a way that imposes an unreasonable load on our infrastructure
- Resell access to BundleRight or use it to provide a similar service to third parties without our written agreement
- Use the service in any way that breaches applicable law or your professional obligations (including SRA rules and confidentiality duties to your clients)
We may suspend or terminate access for serious or repeated breach of this section, with or without notice depending on the severity of the breach.
8. Your Data and Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
In summary:
- Documents you upload are processed in a temporary session directory and are permanently deleted when the session ends
- Document content is never written to our database and never used to train AI models
- AI calls run through AWS Bedrock under the AWS Data Processing Addendum, which prohibits retention and training use of your content
- Our current list of sub-processors is published at sub-processors
9. Data Protection Roles
For the documents you upload, your firm is the data controller and Nimble Tech Ltd is the data processor. You confirm that you have a lawful basis to upload personal data contained in those documents and that, where relevant, you have provided any required notices to data subjects under UK GDPR.
A Data Processing Agreement (DPA) is available on request. Please contact us through the contact form and we will provide our standard DPA, which incorporates the UK ICO's International Data Transfer Addendum and the UK Addendum to the EU Standard Contractual Clauses where relevant.
For account information (licence key holder, billing email, firm name, credit balance) we act as data controller; our role and lawful basis for that data are described in the Privacy Policy.
10. Confidentiality
We treat all documents you upload as confidential. We will not access the content of your documents except as strictly necessary to provide the service (for example, automated text extraction and classification by the system). Our staff do not read customer documents in the ordinary course of operating the service. Where access is exceptionally required to investigate a security or service incident, it will be limited to what is necessary, logged, and minimised.
11. Intellectual Property
BundleRight, including all software, designs, content, and trade marks, is owned by Nimble Tech Ltd and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable licence to use the service in accordance with these Terms.
You retain all rights in the documents you upload and in the bundles you produce. You grant us a limited licence to process your documents solely as needed to deliver the service to you.
12. Service Availability
We aim to keep BundleRight available, but we do not guarantee uninterrupted access. The service may be unavailable for scheduled maintenance, emergency maintenance, or for reasons outside our reasonable control. We do not offer a contractual uptime SLA at this tier of service; SLAs for Enterprise customers, where offered, are set out in the relevant order form.
13. Warranties and Disclaimers
BundleRight is an aid to document organisation, not a substitute for human legal judgment. The proposed ordering, classification, and indexing are produced by software (including AI components) and may contain errors. You are responsible for reviewing the output before it is filed, served, or relied upon for any legal purpose.
To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
14. Limitation of Liability
Nothing in these Terms limits or excludes our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be limited or excluded under English law
Subject to the above, our total liability arising out of or in connection with the service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to the greater of (a) the amount you paid us for credits in the 12 months preceding the event giving rise to the claim, or (b) £100.
We will not be liable for any indirect or consequential loss, loss of profits, loss of business, loss of goodwill, loss of data (beyond restoration from your own records), or wasted management time.
15. Indemnity
You agree to indemnify us against any third-party claim arising from your breach of these Terms, your use of the service in violation of applicable law, or your processing of documents you did not have the right to process.
16. Suspension and Termination
You may stop using BundleRight at any time. Unused credits can be retained on your key for future use and, within 14 days of purchase, refunded under section 6.
We may suspend or terminate access if you breach these Terms, if your firm becomes insolvent, or if we are required to do so by law. Where the breach is capable of remedy and is not serious, we will give you a reasonable opportunity to remedy it before suspending or terminating.
On termination, your licence to use the service ends and your licence key is deactivated. Sections that by their nature should survive termination (including sections 11, 13, 14, 15, and 18) will continue in force.
17. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. For material changes, we will notify you by email (if you have provided one) or by an in-app notice on your next session, and you will be asked to acknowledge the changes before continuing to use the service.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the service, except that we may bring proceedings to protect our intellectual property rights or to enforce payment in any jurisdiction in which you are located or do business.
19. Miscellaneous
- Entire agreement: These Terms, together with the Privacy Policy and any order form or DPA we have signed with you, constitute the entire agreement between us regarding the service.
- No third-party rights: A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
- Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.
- Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Our failure to enforce a right does not waive that right.
